OBSEDIA AI CHAT AGENT — TERMS OF SERVICE
Version 1.0 | Last updated: 3 November 2026
1. Provider and scope
These Terms govern the Obsedia AI Chat Agent application for Shopify and its related storefront chat and merchant administration features (the App). They are an agreement between the merchant accepting them (you or the Merchant) and Genius Nutrition S.R.L., trading as Obsedia (Obsedia, we, us).
Our registered address is Business Logistic Center, Tamasi Street No. 20, Hall 6A, Buftea, Ilfov, 070000, Romania. Company registration: J23/4568/2015. VAT number: RO35355847. Contact: agents@obsedia.ai.
These Terms apply specifically to Obsedia AI Chat Agent. They do not replace separate agreements for other Obsedia products. The App's Privacy Policy explains personal-data processing. Its Merchant Data Processing Agreement (DPA) forms part of these Terms for personal data processed on your behalf.
2. Acceptance and authority
An authorized representative must expressly accept these Terms and the applicable DPA before activating the relevant data-processing features. If you accept for a business, you confirm that you have authority to bind it. The agreement takes effect when that acceptance is recorded or the parties conclude a separate written agreement covering the App.
Shopify installation permissions, acceptance of this agreement, and Shopify billing approval are separate actions. Granting an API permission does not, by itself, establish acceptance of the DPA or approve an app charge.
3. The service
The App provides storefront AI conversations grounded in merchant-approved product and store information, product recommendations, support answers and explicit product/cart actions. Merchants configure relevant sources and settings and can inspect retained conversations. Where the feature is enabled and Shopify permits access, an authorized merchant can view customer and order context for a shopper whose Shopify identity has been verified server-side.
The merchant conversation archive retains messages for 90 days from each original message timestamp. The available history can be browsed through pages. Active AI session state has a separate 24-hour lifetime. Earlier valid deletion or termination requirements can shorten retention. Changing a display or access limit cannot recover data that has already been deleted.
Shopify permissions, data availability, customer account state and the merchant's configuration affect which features and fields are available. The App does not promise access to information withheld, redacted or deleted by Shopify.
4. Shopify access and customer identity
You authorize only the access necessary for the enabled service through Shopify's permission process. This may include product, page, policy, discount, customer and order reads, full historical-order reads where separately authorized, and the supported app-proxy configuration.
Protected customer information may include name, email, phone, relevant address, verified customer reference and relevant order summaries. It is used for the stated customer-service purpose, subject to the Privacy Policy and DPA. A name, email address or order reference typed into chat is not proof of a shopper's identity. Anonymous, unverified or mixed-account history must not be treated as one assumed customer.
The merchant customer panel does not automatically add its customer profile or purchase-history results to AI input. Shopper messages and the limited facts authorized for the existing order-support service may be processed by the AI provider as described in the Privacy Policy.
5. Your responsibilities
You remain responsible for your store, products, claims, policies, merchant-approved content and customer-service decisions. Supply accurate information you are entitled to use, keep sources and settings current, and provide required shopper notices, lawful bases and consents.
Protect your Shopify and App access and authorize only people who need it. Review AI output when appropriate and maintain a usable support contact or human follow-up process. Inform us promptly of suspected unauthorized access or an incident involving the App.
Do not attempt to access another merchant's data, bypass identity checks, misuse API credentials, introduce malicious content, or instruct unlawful or unauthorized actions. Do not ask shoppers to provide passwords, payment-card credentials, identity documents or unnecessary sensitive information through chat. The App is not intended for special-category or criminal-record data processing without separate written assessment and safeguards.
6. AI output and decisions
AI output can be incomplete or incorrect even when supported by available sources. Verify information before relying on it where an error could affect a person, a purchase or your legal obligations. You remain responsible for your products and the decisions you take.
The App is a sales and customer-support assistant. It is not a substitute for qualified medical, legal, financial or other professional advice. It is not intended to decide credit, insurance, employment, eligibility or other matters producing legal or similarly significant effects for shoppers.
7. Plans, fees and billing
Applicable plan prices, usage measurement, included allowances, limits, overage terms, trials and billing periods are those presented and accepted in the App's Shopify billing flow. These Terms do not introduce a new price, trial allowance, usage-counting method or automatic charge.
App charges use Shopify's supported billing process. Review the applicable commercial terms before approving a charge. Use the available billing controls to select or change a plan. Questions about charges, cancellation or refunds can be sent to agents@obsedia.ai. Accrued charges and mandatory statutory rights are governed by the accepted commercial terms and applicable law.
8. Merchant data and intellectual property
You retain your rights in the catalogue, content and other Merchant Data you provide. You grant us the limited permission necessary to provide, secure and support the enabled App in accordance with your instructions and these Terms.
We retain our rights in the App, software, service design and related materials. Neither party acquires the other's trademarks or intellectual property except for the limited permissions expressly granted. We do not sell customer data, use it for independent advertising or cross-merchant profiling, or use Merchant Data to train public general-purpose AI models.
9. Confidentiality and data protection
Each party will protect non-public information received from the other and use it only for the agreement's purposes. Access must be limited to authorized people and necessary providers under appropriate confidentiality obligations. Disclosure may occur where legally required, with notice when permitted.
The DPA governs personal data processed on your behalf. Our necessary technical providers include hosting and AI inference providers described in the Privacy Policy and DPA. The App's customer data is not made available to unrelated merchants or other Obsedia applications for their own purposes.
10. Availability and changes
We maintain and may update the service for functionality, compatibility, reliability, security or Shopify requirements. We do not guarantee uninterrupted availability, error-free output or a particular sales result.
We will inform affected merchants of material changes to these Terms or the processing arrangements through an appropriate channel and obtain renewed acceptance where required. A technical change does not by itself authorize an unaccepted billing obligation or a new personal-data purpose.
11. Suspension and termination
You may stop using the App and uninstall it through Shopify. We may restrict or suspend use that is unlawful, unauthorized, materially breaches these Terms or presents a demonstrated security risk. Where practicable and legally permitted, we will explain the issue and allow an appropriate opportunity to remedy it.
On termination, contact us if you need a return of eligible data before deletion. We handle return, deletion, legally required records and restricted backup rotation under the DPA and Privacy Policy. Ordinary 90-day conversation retention does not override earlier deletion or termination obligations. Where Shopify's API terms require deletion, originals and copies are deleted within the applicable 30-day period unless applicable law prohibits or varies that requirement.
12. Shopify's role
Obsedia is solely responsible for the App, including its development, operation, marketing, distribution, support and handling of Merchant Data. Shopify is not liable for faults in the App or harm resulting from its installation or use. Except where Shopify expressly states otherwise, Shopify does not provide assistance with installing or using the App. Obsedia is responsible for liability arising from the Merchant's access to or use of the App, including Obsedia's access, use, distribution or storage of Merchant Data, subject to applicable law and these Terms.
Your separate Shopify agreements remain effective. Nothing in these Terms restricts your lawful operation of your business or requires exclusivity beyond this agreement.
13. Warranties and liability
We will provide the service with reasonable care and skill. Except for express commitments and rights that cannot lawfully be excluded, the service is provided as available and without a guarantee that AI output will be accurate or suitable for every use.
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss. Each party's total liability under this agreement is limited to the fees paid or payable for the App in the 12 months preceding the event giving rise to the claim. This does not limit liability for fraud, deliberate misconduct, liability that cannot legally be limited, or obligations whose limitation is prohibited by applicable data-protection law. Mandatory rights and remedies remain unaffected.
14. Governing law and contact
Romanian law governs these Terms, subject to applicable mandatory protections. Disputes are subject to the competent courts of Romania unless a mandatory jurisdiction rule requires otherwise. The DPA prevails for conflicts concerning personal-data processing; mandatory law and applicable Shopify obligations continue to apply.
